Scope & One-Time Setup Fees
HYP-DigiUCart Services LLC (“Provider”) will deliver the front-end development services below to the Client identified above (“Client”). Setup fees are one-time and due prior to work commencing unless otherwise agreed in writing.

Recurring Hosting & Maintenance Fees

Terms & Conditions
Please read each item below and enter your initials in the box beside it to confirm your acknowledgment and agreement. All boxes must be initialed before this document can be signed.
1. Scope of Work.Provider's obligations are limited to the Landing Page Setup and Marketing Reel Setup deliverables described above. Any additional pages, features, revisions beyond what is described, or new deliverables will be treated as a separate, additional-fee engagement and require written approval before work begins.

2. Payment Terms.The one-time setup total of $400.00 is due at signing, prior to work commencing. Recurring hosting and maintenance fees totaling $150.00/month begin on the date the deliverables are first published live and are billed monthly in advance. Late payments may result in suspension of hosting until the account is brought current.

3. Hosting & Maintenance.Hosting and maintenance covers uptime monitoring, minor bug fixes, and routine platform updates for the specific deliverables listed in this agreement. It does not include new design work, content rewrites, or added functionality, which are billed separately.

4. Revisions.Client is entitled to up to two (2) rounds of minor revisions on each setup deliverable prior to final publish. Revisions requested after final publish, or beyond the included rounds, may incur additional charges at Provider's then-current rates.

5. Ownership & Content Rights.Upon full payment of setup fees, Client owns the final landing page design and marketing reel as delivered. Provider retains the right to showcase the completed work in its own portfolio and case studies unless Client requests otherwise in writing. Client is responsible for ensuring it holds rights to any content, images, or media it supplies to Provider.

6. Term & Termination.This agreement remains in effect on a month-to-month basis following completion of the initial setup. Either party may terminate hosting and maintenance with thirty (30) days' written notice. Setup fees are non-refundable once work has commenced.

7. Limitation of Liability.Provider's total liability under this agreement is limited to the total fees paid by Client in the preceding three (3) months. Provider is not liable for indirect, incidental, or consequential damages, including lost revenue or business, arising from use of the delivered materials.

8. Governing Law.This agreement is governed by the laws of the state in which Provider is registered, without regard to conflict-of-law principles, and any disputes shall first be addressed through good-faith negotiation between the parties.
